"Terms of Service — The X Office"

These Terms of Service govern your use of The X Office — a Miami-based virtual office, Private Mailbox, mail-forwarding, scanning, receptionist, and meeting-room service. By creating an account or signing a USPS PS Form 1583 designating us as your mail agent USPS Form 1583 — Application for Delivery of Mail Through Agent, you accept these Terms. They are written in plain English, grounded in primary US sources, and pair every legal claim with a citation you can verify. Effective date: May 22, 2026.

These Terms form a binding contract between you and The X Office LLC, a Florida limited liability company with its principal place of business in Miami-Dade County, Florida. If you do not agree to any part of these Terms, do not sign the Form 1583 we send you and do not use the service.

1. Acceptance of terms

You accept these Terms when you do any of the following: complete account registration on thexoffice.us, sign a notarized PS Form 1583 naming The X Office as your authorized mail agent USPS Form 1583 — Application for Delivery of Mail Through Agent, pay an invoice for any of our plans, or pick up mail at our Miami suite. Account holders accept on behalf of the legal entity they represent — if you are signing on behalf of an LLC or corporation, you confirm you have authority to bind that entity.

If you change your mind before activation, email legal@thexoffice.us and we will void the application. Once Form 1583 is on file with USPS, voiding the contract requires the USPS-prescribed revocation procedure described in Section 5.

2. Description of service

The X Office provides a bundle of services at our Brickell, Miami address, sold individually or in plans:

  • Virtual office. A real commercial street address at a USPS-registered Commercial Mail Receiving Agency (CMRA). The address is suitable for business correspondence, bank account applications by online banks for non-residents, and Florida LLC registration.
  • Private Mailbox (PMB). A numbered mailbox assigned to you under our CMRA registration. The official address format follows USPS Domestic Mail Manual §508 — your suite number is printed as #NNN per the Private Mailbox address-format requirement USPS DMM §508.1.5.2 — Private Mailbox Address Format USPS Domestic Mail Manual §508 — Recipient Services.
  • Mail forwarding. Scheduled or on-demand re-shipping of physical mail to any address you designate, by USPS, UPS, FedEx, or DHL at carrier-published rates plus a handling fee.
  • Mail scanning. Digital imaging of envelope exteriors and (on request) opened contents, uploaded to your secure portal.
  • Receptionist services. Business-hours call answering and message routing under the script you provide.
  • Meeting rooms. On-demand booking of the conference rooms at our Brickell suite.

Service descriptions, hours, and plan inclusions on /pricing are part of these Terms by reference. Where pricing-page text and these Terms conflict, these Terms control.

3. Eligibility

To create an account you must be at least eighteen years old, not be listed on any US sanctions list (OFAC SDN, Consolidated Sanctions List, or any successor list), and provide accurate identification documents.

The X Office is not designed for minors. We do not knowingly accept account registrations from anyone under thirteen, consistent with the Children's Online Privacy Protection Act 15 USC §6501 — Children's Online Privacy Protection Act. If we learn that a person under thirteen has submitted personal information through our service, we delete the data and close the account.

Non-residents of the United States are explicitly welcome. We work daily with founders forming Florida LLCs from Colombia, Mexico, Chile, Argentina, Peru, Spain, and Brazil. US residency is not a requirement to sign Form 1583 USPS Form 1583 — Application for Delivery of Mail Through Agent or to use the virtual office.

4. Account registration and accuracy of information

You agree to provide accurate, complete, and current information during registration and to keep it current thereafter. This includes your legal name as printed on your government identification, your residential address (which USPS distinguishes from the commercial address we provide you), your contact email, and the IDs you upload for Form 1583 review.

Submitting false statements on Form 1583 is a federal offense 18 U.S.C. § 1018 — Official Certificates or Writings (False Statements). We rely on the documents you upload; you are responsible for their truthfulness. If we discover material inaccuracies, we may suspend service, revoke your Form 1583, and report the discrepancy to USPS or other authorities where the law requires it.

5. USPS Form 1583 agency relationship

When you sign PS Form 1583 designating The X Office as your authorized agent, you create a postal-agency relationship governed by USPS regulations. We act as your agent strictly for the limited purpose of receiving mail addressed to your name and Private Mailbox at our Miami address USPS Form 1583 — Application for Delivery of Mail Through Agent USPS Domestic Mail Manual §508 — Recipient Services.

The agency is narrow. It does not authorize us to:

  • Open mail unless you have requested mail scanning and consented to envelope opening
  • Sign for legal process on your behalf (we are not a registered agent for service of process)
  • Endorse or deposit checks
  • Make any legal, tax, or business decision in your name
  • Hold ourselves out as your representative for any purpose other than mail receipt

USPS authority for this kind of agency is found in 39 USC §3008 and the related CMRA regulations 39 USC §3008 — Prohibition of pandering advertisements (CMRA authority context) USPS Domestic Mail Manual §508 — Recipient Services. You can revoke the agency at any time by submitting a written revocation to The X Office and filing a corresponding change with USPS. After revocation, mail addressed to your former PMB is returned to sender per USPS standard procedure.

USPS authorized remote video notarization of Form 1583 in May 2024 via Postal Bulletin 22648 USPS Postal Bulletin 22648 — Remote Notarization of Form 1583 (May 16, 2024). We accept remote notarizations performed by US-commissioned notaries under any state's RON statute, provided the notarial certificate and the video recording are produced if requested.

6. No legal, tax, or accounting advice

The X Office is not your attorney, certified public accountant, registered agent, or tax adviser. Nothing we publish on this site, send by email, or say in a meeting constitutes legal, tax, accounting, or investment advice.

This matters for several common scenarios. If your situation requires legal, tax, or accounting guidance, hire a Florida-licensed attorney, a US CPA, or an IRS Enrolled Agent. We are happy to refer you to professionals we have worked with — that referral is not a recommendation that you hire them.

7. No guarantee of bank acceptance or LLC formation outcome

A verifiable Miami business address is a necessary but not sufficient condition for opening a US business bank account. We can deliver the address, the notarized Form 1583, and the documentation packet most online banks for non-residents request. We cannot guarantee that any specific bank will approve your application. Likewise, while we can coordinate with the Florida Division of Corporations for filings tied to our address Florida Division of Corporations — Sunbiz Business Registry, we do not form LLCs as a registered agent service and do not guarantee that any specific Sunbiz filing will be approved on the first submission. Filing rejections happen for reasons unrelated to your address — duplicate entity names, missing signatures, or fee processing issues — and are not refundable from us.

8. Acceptable use policy

You agree not to use the service for any unlawful purpose. Specifically, you will not use The X Office address or any mail handling service to:

  • Receive mail in furtherance of any illegal activity under federal or Florida law
  • Operate any business in cannabis, controlled substances, federally regulated firearms or ammunition dealing, online gambling, sexually explicit content, or other industries that violate federal law or our underwriting policy
  • Receive mail under any name not yours and not authorized on a current Form 1583
  • Send mail that violates the CAN-SPAM Act 15 USC §7701 — Controlling the Assault of Non-Solicited Pornography And Marketing Act or any other federal commercial-email statute
  • Misrepresent your address as a residential dwelling, since the address is a registered commercial CMRA on file with USPS

We reserve the right to refuse service or to terminate accounts for any acceptable-use violation. For repeat or material violations, we will notify USPS and revoke our Form 1583 agency consistent with Section 5.

9. Fees, billing, and refunds

Plans are billed monthly or annually in advance, depending on the plan you select. Fees are stated in US dollars and do not include applicable taxes. Add-on services — extra forwarding shipments, scanning beyond your plan allowance, certified mail handling — are billed at the rates published on /pricing on the date of the transaction.

If you cancel a monthly plan, the cancellation takes effect at the end of the current billing cycle. We do not prorate refunds for unused time on a monthly plan. Annual plans cancelled within the first thirty days are eligible for a prorated refund less a setup fee of fifty dollars; after the first thirty days, annual plans are non-refundable except where Florida consumer law requires otherwise Florida Statutes §501.204 — Florida Deceptive and Unfair Trade Practices Act.

Chargebacks initiated without first contacting us at billing@thexoffice.us are a material breach of these Terms. We will contest the chargeback with documentation, suspend the account during the dispute, and reserve all rights under applicable law.

10. Service availability

We provide the service on a best-effort basis. We do not offer a contractual uptime service-level agreement. The physical address, the suite, and the mailbox infrastructure run during the operating hours posted on /contact. Mail-scanning turnaround targets are stated on /pricing but are targets, not guarantees.

We may suspend the service for scheduled maintenance, building maintenance imposed by the landlord, force majeure events including hurricanes and other natural disasters common to South Florida, and acts of government. We will notify you in advance of planned suspensions where practicable. Where suspension materially affects your ability to receive mail, we will extend your plan term by the suspension period.

11. Intellectual property

You retain ownership of all content you upload to our portal — the IDs, the operating agreements, the business documents, the call recordings if you turn that feature on. By uploading content, you grant us a limited, non-exclusive license to store, process, and display the content solely to provide the service.

Our website, the design of the portal, the photography of our Miami suite, our written guides and blog posts, the copy on this page, and the structure of our pricing pages are owned by The X Office LLC and protected by US copyright law. You may not copy, republish, scrape, or train an AI model on our content without our prior written permission.

We comply with the Digital Millennium Copyright Act and operate under its safe harbor 17 USC §512 — Digital Millennium Copyright Act (safe harbor). If you believe content on our site infringes your copyright, send a DMCA-compliant notice to dmca@thexoffice.us. The notice must include the elements listed in 17 USC §512(c)(3): identification of the work, identification of the infringing material, your contact information, a good-faith statement that the use is unauthorized, a statement under penalty of perjury that the notice is accurate and that you are the rights holder or authorized to act for them, and your physical or electronic signature. We respond to compliant notices within ten business days and notify the alleged infringer of the takedown.

12. Privacy

How we collect, use, and disclose personal information is described in our Privacy Policy at /privacy, which is incorporated into these Terms by reference. The Privacy Policy explains your rights under the Florida Information Protection Act, the California Consumer Privacy Act, and where applicable the General Data Protection Regulation, along with our data-retention practices, subprocessor list, and breach-notification commitments.

13. Limitation of liability

To the maximum extent permitted by Florida law, The X Office LLC, its officers, members, employees, and subcontractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of business opportunity, or loss of data, arising out of or in connection with your use of the service, even if we have been advised of the possibility of such damages.

Our total cumulative liability for any claim arising from or related to these Terms or the service shall not exceed the greater of one hundred dollars or the total fees you paid us in the twelve months preceding the event giving rise to the claim. This limitation applies regardless of the legal theory of the claim and survives termination of these Terms.

Nothing in this Section limits or excludes liability that cannot be limited or excluded under applicable law, including under the Florida Deceptive and Unfair Trade Practices Act Florida Statutes §501.204 — Florida Deceptive and Unfair Trade Practices Act or Section 5 of the FTC Act 15 USC §45 — FTC Act Section 5 (unfair / deceptive acts).

14. Indemnification

You agree to indemnify, defend, and hold harmless The X Office LLC and its members, officers, employees, and agents from and against any third-party claim arising out of: your breach of these Terms, your violation of any law in connection with the service, your infringement of any third party's intellectual property or privacy right, or any false statement on any Form 1583 you sign in our favor.

Our right to defense includes the right to choose counsel. You will cooperate in the defense and not settle any claim without our prior written consent where settlement would require us to admit fault or pay money.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Federal law applies where it preempts state law.

Any dispute arising out of or relating to these Terms or the service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall be conducted in Miami-Dade County, Florida, in English, by one arbitrator. The Federal Arbitration Act governs this arbitration agreement and its enforcement 9 USC §1 et seq. — Federal Arbitration Act. Judgment on the award may be entered in any court of competent jurisdiction.

You and we each waive any right to a jury trial and any right to bring or participate in a class action, consolidated action, or representative action. This class-action waiver is a material part of this arbitration agreement; if a court finds it unenforceable, then the entire arbitration agreement in this Section is unenforceable.

The waiver does not apply to claims for injunctive relief to stop unauthorized use of our intellectual property, to small-claims actions in Miami-Dade County small-claims court for amounts within that court's jurisdictional limit, or to disputes that applicable law requires to be heard in a specific forum.

16. Accessibility

We are committed to making our service usable by people with disabilities consistent with the Americans with Disabilities Act and applicable Florida accessibility law 42 USC §12101 et seq. — Americans with Disabilities Act. Our website is built and audited against WCAG 2.2 Level AA criteria; our Brickell suite is wheelchair accessible with an elevator from the parking entrance.

If you encounter an accessibility barrier on our site or at our office, email accessibility@thexoffice.us with a description of the issue and any assistive technology you were using. We respond within five business days and prioritize remediation by impact severity. ADA Title III compliance is an ongoing obligation; we welcome user feedback as a primary signal.

17. Modification of these Terms

We may modify these Terms from time to time. When we make a material change — a change that meaningfully affects your rights or obligations — we will email account holders at least thirty days before the change takes effect and post the updated Terms on this page with a new effective date. Non-material changes (typos, clarifying edits, broken-link fixes) may be made without notice but are reflected by the updated date stamp at the foot of this page.

Continued use of the service after a modified Terms' effective date constitutes acceptance of the modification. If you do not accept a material modification, your remedy is to cancel your plan before the effective date and discontinue use.

18. Severability

If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to be enforceable, or, if modification is not possible, severed from these Terms. The remaining provisions remain in full force.

The severability of the arbitration agreement in Section 15 is treated specially as stated in that Section: if the class-action waiver is found unenforceable, the entire arbitration agreement is severed and disputes proceed in court.
